1. ACCEPTANCE OF TERMS
These Terms of Service ("Terms") govern your access to and use of the services provided by Gritrax ("Gritrax", "we", "us", or "our").
By creating an account, accessing, or using the service, you agree to be legally bound by these Terms.
If you do not agree with these Terms, you must not access or use the service.
2. ELIGIBILITY
You may use the service only if you are legally capable of entering into a binding agreement under applicable law.
By using the service, you represent that:
• The information you provide is accurate and current
• You have the authority to enter into these Terms
• You will comply with all applicable laws and regulations
• You meet the minimum age requirement applicable to your location
3. YOUR ACCOUNT
3.1 Account Creation
You may be required to create an account to access certain features.
You agree to provide accurate and complete information when creating and maintaining your account.
You are responsible for keeping your account information current.
3.2 Account Security
You are responsible for:
• Maintaining the confidentiality of your login credentials
• Protecting access to your account
• Using appropriate security measures
• Notifying us promptly if you believe your account has been compromised
You are responsible for activity conducted through your account unless the activity resulted from a security failure attributable to Gritrax.
3.3 Workspace Access
If you create or administer a workspace, you are responsible for:
• Managing workspace members
• Assigning appropriate permissions
• Removing users who should no longer have access
• Ensuring that workspace members are authorized to access workspace information
4. USE OF THE SERVICE
You may use the service only for lawful purposes and in accordance with these Terms.
You agree not to:
• Use the service for unlawful activities
• Upload malicious software, viruses, or harmful code
• Attempt to gain unauthorized access to systems or accounts
• Access information belonging to another user without authorization
• Circumvent authentication or security controls
• Interfere with the operation or availability of the service
• Attempt to overload or disrupt our infrastructure
• Scrape the service in an abusive or unauthorized manner
• Reverse engineer, decompile, or attempt to extract source code except where expressly permitted by applicable law
• Exploit security vulnerabilities without authorization
• Use the service to distribute spam or malicious communications
• Use the service to infringe another person's intellectual property or other legal rights
• Resell or commercially redistribute the service without our written permission
5. YOUR CONTENT
5.1 Ownership
You retain ownership of the files, documents, information, and other content that you submit to or create through the service.
Nothing in these Terms transfers ownership of your content to Gritrax.
5.2 License to Operate the Service
You grant Gritrax a limited, non-exclusive, worldwide license to host, store, transmit, process, reproduce, and display your content only to the extent reasonably necessary to:
• Provide the service
• Store and deliver your content
• Synchronize your content
• Perform requested operations
• Maintain backups
• Maintain and secure our infrastructure
• Prevent abuse and security threats
• Comply with applicable law
This license exists only for the purposes necessary to operate the service and does not give Gritrax ownership of your content.
5.3 Your Responsibility for Content
You are responsible for ensuring that:
• You have the necessary rights to upload and use your content
• Your content does not violate applicable law
• Your content does not infringe third-party rights
• Your content does not contain malicious software intended to harm systems or users
Gritrax does not claim ownership of your content.
6. INTELLECTUAL PROPERTY
6.1 Gritrax Property
The service, including its software, interfaces, designs, systems, documentation, trademarks, logos, and other materials provided by Gritrax, is owned by or licensed to Gritrax.
Except where expressly permitted, you may not:
• Copy the service
• Modify the service
• Distribute the service
• Sell or sublicense the service
• Create derivative works from the service
• Use Gritrax intellectual property without authorization
6.2 Feedback
If you provide suggestions, recommendations, or feedback regarding the service, you grant Gritrax permission to use that feedback without restriction or compensation, provided that doing so does not disclose your confidential information.
7. STORAGE AND DATA
7.1 Storage
The amount of storage and related usage available to you depends on the applicable plan, account configuration, or usage limits presented to you.
You are responsible for monitoring your storage usage and maintaining sufficient available capacity for your intended use.
7.2 Data Protection
Gritrax maintains technical and organizational safeguards designed to protect stored information.
However, no storage or transmission system can guarantee absolute protection against every possible failure, attack, or loss.
7.3 Backups
Gritrax may maintain backups and recovery copies for reliability, disaster recovery, and operational purposes.
Backups are not intended to replace your own independent copies of critical information.
7.4 Deleted Content
When you delete content, it may first enter a recovery or deletion process before permanent removal.
Content may remain temporarily in backup systems after deletion from active systems.
8. PAYMENTS AND BILLING
8.1 Fees
Certain features or usage may require payment.
Applicable fees will be presented to you before you are charged.
8.2 Payment Processing
Payments may be processed through third-party payment providers.
Gritrax does not store raw payment-card information where payment processing is handled by those providers.
8.3 Taxes
You are responsible for applicable taxes, duties, or governmental charges associated with your use of the service unless otherwise required by law.
8.4 Failed Payments
If a payment fails, we may:
• Notify you of the failed payment
• Provide an opportunity to update your payment information
• Restrict certain paid features
• Suspend or terminate paid services if the payment remains unresolved
8.5 Pricing Changes
We may change pricing or applicable fees from time to time.
Where required by law, we will provide reasonable notice before a pricing change takes effect.
9. REFUNDS
Refund eligibility depends on the applicable payment terms presented at the time of purchase and applicable law.
Unless otherwise stated:
• Charges for services already consumed may not be refundable
• Usage-based charges may not be refundable once the applicable usage has occurred
• Refund requests may be reviewed on a case-by-case basis
• Any legally required refund rights remain unaffected
Where a specific refund policy applies to a transaction, that policy will govern the transaction.
10. SERVICE AVAILABILITY
We work to keep the service available and reliable.
However, we do not guarantee that the service will:
• Always be available
• Operate without interruption
• Be completely error-free
• Be free from security vulnerabilities
• Be available at every location or at every time
Service availability may be affected by:
• Maintenance
• Infrastructure failures
• Internet connectivity
• Third-party service failures
• Security incidents
• Natural disasters
• Power failures
• Other circumstances beyond our reasonable control
11. MAINTENANCE AND CHANGES
We may modify, improve, suspend, or discontinue features of the service from time to time.
We may perform scheduled or emergency maintenance when reasonably necessary.
Where practical, we will provide advance notice of significant planned interruptions.
12. ACCOUNT SUSPENSION AND TERMINATION
12.1 Termination by You
You may stop using the service at any time.
Where account deletion is available, you may request or initiate deletion according to the available account controls.
12.2 Suspension or Termination by Gritrax
We may suspend or terminate access if we reasonably believe that:
• You violated these Terms
• You violated applicable law
• Your account presents a security risk
• Your account is being used for fraud or abuse
• You attempted to compromise our systems
• You failed to pay applicable fees
• Your activity threatens the service or other users
Where reasonably possible, we may provide notice before suspension or termination.
Immediate action may be taken where necessary to protect the service, users, or infrastructure.
13. EFFECT OF TERMINATION
After termination or deletion:
• Your access to the service may be disabled
• Your content may become unavailable
• Deleted content may enter our normal deletion process
• Backup copies may remain until their applicable retention period expires
• Certain information may be retained where required by law or necessary for legitimate security, accounting, fraud-prevention, or dispute-resolution purposes
You are responsible for exporting any information you need before terminating your account where export functionality is available.
14. THIRD-PARTY SERVICES
The service may depend on third-party infrastructure, payment providers, authentication providers, storage providers, email providers, or other services.
Gritrax is not responsible for independent third-party services or outages outside our reasonable control.
Your use of third-party services may also be governed by their own terms and policies.
15. SECURITY
You agree not to attempt to compromise or circumvent the security of the service.
This includes attempting to:
• Bypass authentication
• Access restricted resources
• Obtain another user's credentials
• Exploit vulnerabilities without authorization
• Interfere with security mechanisms
• Deploy malicious code
• Conduct unauthorized penetration testing
If you discover a security vulnerability, you should report it responsibly through the appropriate Gritrax security contact.
16. PRIVACY
Your use of the service is also subject to our Privacy Policy.
The Privacy Policy explains how Gritrax collects, uses, stores, and protects personal information.
17. DISCLAIMERS
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, GRITRAX DISCLAIMS WARRANTIES THAT THE SERVICE WILL BE:
• UNINTERRUPTED
• ERROR-FREE
• COMPLETELY SECURE
• FREE FROM DEFECTS
• SUITABLE FOR EVERY PARTICULAR PURPOSE
NOTHING IN THESE TERMS EXCLUDES ANY WARRANTY OR RIGHT THAT CANNOT LAWFULLY BE EXCLUDED UNDER APPLICABLE LAW.
18. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, GRITRAX WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM OR RELATING TO YOUR USE OF THE SERVICE.
THIS MAY INCLUDE LOSS OF:
• PROFITS
• REVENUE
• BUSINESS OPPORTUNITIES
• DATA
• GOODWILL
• EXPECTED SAVINGS
TO THE MAXIMUM EXTENT PERMITTED BY LAW, GRITRAX'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID TO GRITRAX FOR THE SERVICE DURING THE TWELVE MONTHS IMMEDIATELY BEFORE THE EVENT GIVING RISE TO THE CLAIM.
Nothing in these Terms limits liability that cannot legally be limited or excluded under applicable law.
19. INDEMNIFICATION
To the maximum extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Gritrax and its officers, employees, contractors, and representatives from claims, liabilities, damages, losses, and expenses arising from:
• Your violation of these Terms
• Your unlawful use of the service
• Your content
• Your infringement of another person's rights
• Your unauthorized use of the service
20. GOVERNING LAW
These Terms are governed by the laws of India, except to the extent that applicable law requires otherwise.
Any dispute arising from or relating to these Terms or the service will be subject to the jurisdiction of the courts and dispute-resolution mechanisms applicable under Indian law.
21. DISPUTE RESOLUTION
Before initiating formal legal proceedings, the parties should make reasonable efforts to resolve disputes directly.
Nothing in this section prevents either party from seeking urgent legal or injunctive relief where such relief is legally available.
22. CHANGES TO THESE TERMS
We may update these Terms from time to time.
If we make material changes, we may provide notice through:
• An in-service notification
• Other reasonable communication methods
The updated Terms will become effective on the date stated in the revised Terms.
Your continued use of the service after the effective date constitutes acceptance of the updated Terms, to the extent permitted by applicable law.
23. SEVERABILITY
If any provision of these Terms is found to be invalid, unlawful, or unenforceable, the remaining provisions will continue to apply.
The invalid or unenforceable provision will be interpreted or modified to the minimum extent necessary to make it enforceable while preserving its original purpose where legally possible.
24. NO WAIVER
If Gritrax does not immediately enforce a provision of these Terms, that does not constitute a waiver of our right to enforce that provision later.
25. ENTIRE AGREEMENT
These Terms, together with the Privacy Policy and any additional terms expressly incorporated into the service, constitute the agreement between you and Gritrax regarding your use of the service.
